End-User License Agreement (EULA) for AMZ Designers Ltd Revit Plugin
This End-User License Agreement (“Agreement”) is a legal agreement between you (“User” or “You”) and AMZ Designers Ltd (“Company”) for the use of the AMZ Designers Ltd Revit Plugin (“Plugin”). By installing, accessing, or using the Plugin, you agree to be bound by the terms and conditions of this Agreement.
1. License Grant:
1.1 License: Subject to the terms of this Agreement, AMZ Designers Ltd grants You a non-exclusive, non-transferable, limited license to use the Plugin for the purpose of designing and drafting within Autodesk Revit software.
1.2 Restrictions: You may not sublicense, sell, rent, lease, or otherwise transfer the Plugin or any portion thereof. You may not reverse engineer, decompile, disassemble, or attempt to derive the source code of the Plugin.
2. Ownership and Intellectual Property:
2.1 Ownership: The Plugin is licensed, not sold. AMZ Designers Ltd retains all rights, title, and interest in and to the Plugin, including all intellectual property rights.
2.2 Feedback: If You provide any feedback, suggestions, or ideas regarding the Plugin, You grant AMZ Designers Ltd the right to use such feedback for any purpose without any obligation to You.
3. Support and Updates:
3.1 Support: AMZ Designers Ltd may provide support and maintenance for the Plugin at its discretion.
3.2 Updates: AMZ Designers Ltd may, from time to time, provide updates, enhancements, or new versions of the Plugin, and such updates shall be governed by this Agreement unless accompanied by a separate license.
4. Warranty and Liability:
4.1 Disclaimer: The Plugin is provided “as is” without any warranties, whether express or implied. AMZ Designers Ltd disclaims all warranties, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
4.2 Limitation of Liability: In no event shall AMZ Designers Ltd be liable for any direct, indirect, incidental, special, or consequential damages arising out of the use or inability to use the Plugin, even if AMZ Designers Ltd has been advised of the possibility of such damages.
5. Termination:
5.1 Termination: This Agreement is effective until terminated. AMZ Designers Ltd reserves the right to terminate this Agreement at any time if You fail to comply with any term of this Agreement.
5.2 Effects of Termination: Upon termination, You must cease all use of the Plugin and destroy all copies of the Plugin in Your possession or control.
6. Governing Law:
6.1 Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of law principles.
7. Miscellaneous:
7.1 Entire Agreement: This Agreement constitutes the entire agreement between You and AMZ Designers Ltd regarding the Plugin and supersedes all prior or contemporaneous understandings and agreements.
7.2 Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
